Terms of Use

Welcome to UpskAill. These Terms of Use ("Terms") govern your access to and use of the UpskAill website, services, and course offerings, operated by eAirth Training & Consulting LLP ("UpskAill", "we", "our", or "us").

By accessing our website, creating an account, or booking a course, you agree to be bound by these Terms. If you do not agree with any part of them, please do not access or use our services.


1. Eligibility

Our services are intended for professionals and individuals aged 18 or over. By using our services, you confirm that you are at least 18 years old and able to enter into a binding agreement.


2. Course Delivery

Public courses are delivered live online, currently via Zoom. We may use alternative platforms (such as Microsoft Teams or Google Meet) for custom or corporate training based on client requirements, and may offer onsite training where appropriate and feasible.

Course schedules, session times, and trainers are as described at the time of booking. We aim to deliver every cohort as scheduled, but we reserve the right to reschedule a session where necessary (for example, due to an instructor emergency), in which case we will provide as much notice as possible and arrange a suitable alternative. Minimum-enrolment and cohort-change terms are set out in our Refund & Cancellation Policy.


3. Accounts and Access

When you book a course, we create an account for you and email your login credentials. You are responsible for keeping your account details confidential and for all activity that takes place under your account. Please notify us promptly at support@upskaill.com if you believe your account has been accessed without authorization.


4. Course Recordings and Materials

On completion of a live course, you are granted access to session recordings and related materials through your UpskAill account. These are provided for your personal learning use only. They are made available through your dashboard and are not intended for download, redistribution, or external sharing, except where we expressly provide a resource for download.

Access is provided on an ongoing basis but may be subject to reasonable technical or operational limits, and we do not guarantee uninterrupted availability of recordings indefinitely.


5. Acceptable Use

You agree not to:

  • Copy, share, distribute, publish, or publicly display course content or recordings
  • Download or screen-record sessions or recordings except where expressly permitted
  • Resell, sublicense, or commercially exploit access to any content or service
  • Impersonate another person or entity, or misrepresent your affiliation
  • Attempt to gain unauthorized access to, disrupt, or interfere with our website, systems, or other users
  • Use our services for any unlawful purpose or in violation of these Terms

We reserve the right to suspend or terminate access for any user who breaches these Terms, without refund where the breach is material.


6. Bookings, Payments, Refunds, and Transfers

Prices are shown at the point of booking. Payments are processed by our third-party payment partners (such as Razorpay and PayPal) or via invoice-based bank transfer for corporate engagements.

Our refund, cancellation, credit, and transfer terms, including our refund window and transferable-credit arrangement, are set out in full in our separate Refund & Cancellation Policy, which forms part of these Terms. By booking, you agree to that policy.


7. Intellectual Property

All course content, materials, curricula, slides, recordings, logos, designs, graphics, and other materials provided by UpskAill are the intellectual property of eAirth Training & Consulting LLP or its licensors, and are protected by applicable intellectual property laws.

You are granted a limited, personal, non-transferable, non-exclusive right to access and use these materials for your own learning. No other rights are granted. You may not copy, reproduce, distribute, modify, or create derivative works from our materials without our express written permission.


8. Training Outcomes and No Guarantees

Our courses are designed to build practical skills and knowledge. However, individual outcomes depend on many factors outside our control, including your own effort, application, and circumstances. We do not guarantee any specific result, performance improvement, commercial outcome, certification value, or career benefit from participating in our training. Any examples or expectations discussed are illustrative, not promises.


9. Limitation of Liability

To the fullest extent permitted by law, UpskAill and eAirth Training & Consulting LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, or goodwill, arising from or related to your use of our website, services, or training.

To the fullest extent permitted by law, our total aggregate liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid to us for the specific course giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.


10. Third-Party Services

We use third-party platforms and services (such as Zoom, Microsoft Teams, Google Meet, Razorpay, PayPal, analytics tools, and email providers) to deliver and operate our services. Your use of those services may be subject to their own terms and policies. We are not responsible for the availability, performance, accuracy, or conduct of third-party services.


11. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our services, you consent to the practices described there.


12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.


13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India.

The parties shall first attempt to resolve any dispute through good-faith negotiation. Any dispute that cannot be resolved amicably shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in Ahmedabad, India, conducted in English by a sole arbitrator. Subject to the arbitration provision, the courts of Ahmedabad, India shall have jurisdiction.

International users agree to the above, and acknowledge that engaging in good-faith negotiation is a required first step before any formal proceedings.


14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
